(or [Legal Entity Name]) (“ThesisLab,” “we,” “us,” “our”) Contact: support@thesislab.com Address: Toronto, Ontario, Canada 1) Acceptance of Terms By accessing or using ThesisLab (the “Service”), you agree to these Terms of Use (“Terms”). If you do not agree, do not use the Service. If you use the Service on behalf of a company or organization, you represent you have authority to bind that entity, and “you” includes that entity. 2) What ThesisLab Provides ThesisLab is an AI-native decision and documentation platform for investing. It helps users structure investment theses, propose trade plans, record assumptions and invalidation criteria, and monitor thesis conditions over time. The Service may present research summaries, critiques, checklists (“gates”), and monitoring outputs. 3) Not Investment Advice; No Advisor Relationship ThesisLab is provided for informational and educational purposes only. ThesisLab is not a broker-dealer, investment dealer, investment advisor/portfolio manager, commodity trading advisor, or exchange. ThesisLab does not provide personalized investment advice or recommendations. You are solely responsible for your decisions, orders, risk management, and compliance with applicable laws. No fiduciary duty is created by your use of the Service. 4) Trading and Market Risk Disclosure Investing and trading involve risk, including the possible loss of principal. Markets can be volatile. Past performance is not indicative of future results. You acknowledge that: AI-generated outputs can be incorrect, incomplete, outdated, or misleading. Market data may be delayed or inaccurate. “Verdicts,” “thesis intact,” “enter/exit,” “risk,” “stop-loss,” “take-profit,” checklists, gates, or similar labels are not guarantees and should not be relied on as such. 5) Paper Trading vs. Live Trading If the Service offers simulation or paper trading, results may differ materially from live trading due to liquidity, execution, spreads, fees, and slippage. If live trading is enabled through an integration, you remain responsible for reviewing and approving orders, and you understand that placing orders may result in real financial gain or loss. 6) Third-Party Integrations (e.g., Alpaca) and External Content The Service may integrate with third parties such as brokerage APIs (e.g., Alpaca), market data providers, and news sources. You acknowledge and agree: Third-party services are governed by their own terms and policies. ThesisLab does not control third-party services and is not responsible for outages, errors, execution quality, fills, rejections, margin actions, fees, account restrictions, data delays, or third-party content accuracy. Brokerage services (custody, execution, statements, confirmations, regulatory obligations) are provided by your broker, not ThesisLab. 7) Brokerage Account Connection (OAuth / API Authorization) If you connect your brokerage account via OAuth or API: You authorize ThesisLab to access data the broker makes available (e.g., positions, balances, orders, fills) and to submit orders only when you explicitly confirm/trigger submission in the Service (as applicable to your configuration). You can revoke access at any time via your broker’s settings and/or within ThesisLab where available. You are responsible for maintaining broker account security and complying with broker requirements. 8) Accounts, Security, and Access You agree to: Provide accurate account information and keep it updated. Maintain the confidentiality of your credentials. Promptly notify us of suspected unauthorized access. You are responsible for all activity under your account. 9) User Content and License “User Content” includes theses, notes, prompts, watchlists, rules, uploaded materials, and any other content you submit. You retain ownership of your User Content. You grant ThesisLab a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and display your User Content solely to: provide and improve the Service, maintain security and prevent abuse, comply with law, enforce these Terms. You represent you have all necessary rights to provide User Content and that it does not violate any law or third-party rights. 10) AI Outputs and Use Restrictions The Service may generate outputs using AI. You acknowledge: Outputs may contain errors or omissions. You must independently verify information and suitability before acting. You will not use the Service to violate laws, manipulate markets, commit fraud, or evade broker controls. No Training on User Content: ThesisLab does not use your User Content to train general-purpose AI models. 11) Acceptable Use You will not: Reverse engineer, decompile, or attempt to extract source code (except where permitted by law). Scrape, probe, or overload the Service. Upload malware or malicious code. Interfere with security or access controls. Use the Service for unlawful activity, including market manipulation. We may suspend or terminate access for violations. 12) Intellectual Property The Service (including software, designs, text, and logos) is owned by ThesisLab or its licensors and protected by IP laws. You receive a limited, revocable, non-transferable license to use the Service in accordance with these Terms. 13) Fees, Subscriptions, and Billing (If Applicable) If you purchase a paid plan: pricing and billing cadence are shown at checkout, taxes may apply, fees are non-refundable except as required by law, we may change pricing with notice (typically effective at renewal). 14) Suspension and Termination You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if needed for security, legal compliance, or to protect ThesisLab and users. 15) Disclaimers THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” To the maximum extent permitted by law, ThesisLab disclaims all warranties, including merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing. 16) Limitation of Liability To the maximum extent permitted by law: ThesisLab is not liable for indirect, incidental, special, consequential, or punitive damages, or for trading losses, lost profits, lost data, or lost goodwill. ThesisLab’s total liability for any claim will not exceed the amount you paid ThesisLab in the 12 months prior to the event giving rise to the claim (or CAD $100 if none). Some jurisdictions do not allow certain limitations; in those cases, limits apply to the extent permitted. 17) Indemnification You agree to indemnify and hold harmless ThesisLab and its affiliates, directors, officers, employees, and agents from claims, losses, liabilities, and expenses (including legal fees) arising from your use of the Service, your User Content, your trading activity, or your breach of these Terms. 18) Binding Arbitration and Class Action Waiver (Ontario) PLEASE READ THIS SECTION CAREFULLY. It affects your rights. 18.1 Agreement to Arbitrate Except for disputes eligible for small claims court and requests for injunctive relief (as described below), you and ThesisLab agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service will be resolved by binding arbitration, not in court. 18.2 Administration and Rules Arbitration will be administered by ADR Chambers or the ADR Institute of Canada (ADRIC) (or another reputable arbitration provider agreed by the parties) under its applicable rules, as modified by this section. 18.3 Seat, Location, and Language Seat (legal place) of arbitration: Toronto, Ontario, Canada Hearing location: Toronto, Ontario (or by videoconference, if agreed) Language: English 18.4 Individual Basis Only; Class Action Waiver You and ThesisLab agree that arbitration will be conducted only on an individual basis. No class actions, class arbitrations, private attorney-general actions, or representative proceedings are permitted. The arbitrator may award relief only in favor of the individual party and only to the extent necessary to resolve the individual claim. 18.5 Exceptions This arbitration agreement does not prevent: Either party from bringing an individual claim in small claims court (if eligible), or Either party from seeking injunctive or equitable relief in a court of competent jurisdiction to prevent actual or threatened misuse of intellectual property, security breaches, or unauthorized access. 18.6 Opt-Out Right You may opt out of this arbitration agreement within 30 days of first accepting these Terms by emailing [legal@yourdomain.com] with subject “Arbitration Opt-Out” and including your name, account email, and a clear statement of intent to opt out. If you opt out, disputes will be resolved in courts as set out in Section 19. 18.7 Fees and Costs Arbitration fees and costs will be allocated according to the arbitration provider’s rules, subject to applicable law. The arbitrator may award costs and fees where permitted. 19) Governing Law and Venue (If Arbitration Does Not Apply) These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. If a dispute proceeds in court (e.g., opt-out, small claims, injunctive relief), the parties submit to the exclusive jurisdiction of the courts located in Toronto, Ontario, unless prohibited by applicable consumer protection law. 20) Changes to the Service or Terms We may update the Service and these Terms. (“ThesisLab,” “we,” “us,” “our”) Contact: privacy@thesislab.com This Privacy Policy describes how ThesisLab collects, uses, discloses, and protects personal information when you use the Service. 1) Scope This Policy applies to information we collect through the Service. It does not apply to third-party services you connect (e.g., brokerage providers). Their practices are governed by their own policies. 2) Information We Collect 2.1 Information You Provide Account details (name, email, authentication details) Preferences (risk settings, watchlists, UI settings) User Content (theses, notes, prompts, rules, uploaded content) Support requests and communications 2.2 Information From Connected Accounts (e.g., Broker via OAuth/API) If you connect a brokerage or data provider, we may receive: Access tokens/authorization credentials (stored securely) Positions, balances, orders, fills, timestamps Account metadata necessary to operate the integration We do not receive your brokerage password via OAuth flows. 2.3 Automatically Collected Information Device and log data (IP address, browser type, device type, OS) Usage data (feature interactions, page views, session timing) Cookies/local storage (session, preferences, analytics) 3) How We Use Information We use personal information to: Provide and operate the Service (including thesis monitoring and trade documentation) Connect and maintain integrations you authorize (e.g., broker connections) Generate AI-assisted outputs requested by you (e.g., structured thesis, critiques) Monitor system performance and prevent fraud/abuse Provide support and communicate service updates Comply with legal obligations and enforce Terms 4) AI and Model Processing ThesisLab may process User Content using AI to produce requested outputs (e.g., critique, structured plans, monitoring summaries). No Training on User Content: ThesisLab does not use your User Content to train general-purpose AI models. We may use aggregated, de-identified information (that cannot reasonably identify you) to understand product performance and improve features. 5) Analytics, Cookies, and Tracking We may use analytics tools (e.g., event analytics, performance monitoring) to understand usage and improve the Service. Essential cookies: authentication, security, and core functionality Analytics cookies/SDKs (if enabled): product usage measurement and diagnostics Where feasible, ThesisLab will provide in-app controls or consent mechanisms for non-essential analytics, and you can control cookies through your browser settings (note: disabling cookies may impact functionality). 6) How We Share Information We do not sell your personal information. We may share information with: 6.1 Service Providers (Processors) Hosting, databases, email delivery, customer support tools, analytics, and AI processing providers—only as necessary to operate the Service under confidentiality and security obligations. 6.2 Third-Party Integrations You Authorize When you connect a broker/data provider, information is exchanged to perform the actions you request (e.g., fetch positions, submit orders). 6.3 Legal, Safety, and Compliance We may disclose information to comply with law, respond to lawful requests, or protect rights, security, and integrity of ThesisLab and users. 6.4 Business Transfers If ThesisLab is involved in a merger, acquisition, financing, or sale, information may be transferred as part of that transaction, subject to standard protections. 7) Data Retention We retain personal information for as long as needed to: provide the Service, meet legal/accounting requirements, resolve disputes and enforce agreements. You can request deletion of your account, subject to legal retention obligations and legitimate business needs (e.g., security logs). 8) Security We use reasonable safeguards designed to protect personal information, such as: encryption in transit (TLS), secure storage for tokens/credentials, access controls and least-privilege policies, monitoring and auditing where appropriate. No system is perfectly secure; you use the Service at your own risk. 9) Your Rights (Canada / Ontario) Depending on your jurisdiction, you may have rights to: access the personal information we hold about you, request correction, withdraw consent (where applicable), request deletion (subject to legal limits). Those jurisdictions may have different privacy protections. 11) Children’s Privacy The Service is not intended for individuals under 13 (or higher age where required). We do not knowingly collect personal information from children. 12) Changes to This Policy We may update this Privacy Policy from time to time. If changes are material, we will provide notice.
